These Terms of Use ("Terms") govern your access to and use of PRG Educational App — the substitute teacher staffing platform operated by Professional Recruiters Group ("PRG," "we," "us," or "our") and accessed at app.prgrecruiters.com (the "Services").

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

These Terms include important provisions that limit our liability and affect your legal rights. Where you are also a party to a separate written agreement with PRG or with a school district customer of PRG, that agreement controls in case of conflict.

1. Acceptance & Eligibility

By accessing or using the Services, you represent that you are at least 18 years old, have the legal authority to enter into these Terms, and meet all eligibility requirements imposed by applicable law and by the school district(s) for which you intend to provide substitute teaching services (including, where required, valid certifications, background checks, and work authorization).

If you are accessing the Services on behalf of a school district, you represent that you have authority to bind that district to these Terms.

2. Description of the Services

PRG Educational App is a substitute teacher staffing platform that facilitates the posting of substitute job openings by school districts and their staff, and the matching, application, and assignment of qualified substitute teachers to those openings. The Services include a public job board, an authenticated administrative portal for school district staff, a substitute portal accessed by magic link, and a "Lounge" area providing announcements, training resources, and optional third-party offers.

PRG may add, modify, or discontinue features of the Services at any time, with or without notice.

3. Accounts & Magic Link Authentication

Access to authenticated portions of the Services is provided through "magic link" authentication. To sign in, you request a one-time link, which we deliver to your registered email address and/or mobile phone number. Following the link grants access to your account.

You are responsible for: (a) maintaining the security and confidentiality of your email account, mobile phone, and any device on which you remain signed in; (b) all activities that occur under your account; and (c) promptly notifying us at support@prgrecruiters.com of any unauthorized use or suspected security incident.

PRG is not liable for any loss or damage arising from your failure to safeguard your email account, phone, or signed-in device.

4. SMS / Text Message Terms

By providing your mobile phone number, you expressly consent to receive automated text messages from PRG Educational App at that number, including magic link authentication, job notifications, assignment confirmations, and operational communications.

Message and data rates may apply. Message frequency varies. Reply STOP to unsubscribe; reply HELP for help. Consent to SMS is not a condition of using all features of the Services, but opting out of SMS may affect authentication and timely job notifications. You may contact support@prgrecruiters.com to request email-only authentication.

5. Substitute Placements & Employment Relationship

Substitute teachers placed through the Services are employees of PRG. PRG provides substitute staffing services to school districts and schools (collectively, "client schools") pursuant to separate written agreements with those clients. PRG is responsible for substitute payroll, applicable employment taxes, and other employment matters for the substitutes it employs.

PRG does not guarantee any particular job, number of assignments, hours, or duration of engagement. Pay rates and assignment availability vary based on client school job orders and PRG's policies, and may change.

While performing assignments on-site at a client school, substitutes are under the day-to-day direction and supervision of that school's administration and staff. Client schools are responsible for providing a safe working environment, supervising the performance of substitute duties at the school, and complying with applicable workplace and safety laws while a substitute is on their premises.

6. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any agreement with a school district
  • Provide false, misleading, or fraudulent information, including in applications, profiles, certifications, or references
  • Impersonate any person or entity, or misrepresent your affiliation with any school, district, or organization
  • Access or attempt to access any account, data, or area of the Services that you are not authorized to access
  • Scrape, harvest, or extract data from the Services using automated means without our prior written consent
  • Interfere with, disrupt, or attempt to circumvent the security, integrity, or performance of the Services
  • Upload viruses, malicious code, or any content that infringes the rights of others
  • Harass, threaten, or harm any other user, including students, staff, or substitutes
  • Resell, sublicense, or commercially exploit any portion of the Services without our prior written consent

We may suspend or terminate your access without notice for conduct we believe violates these Terms or harms PRG, school district customers, or other users.

7. Lounge Content & Third-Party Offers

The Lounge provides PRG announcements, training documents, videos, and discount offers from third-party vendors as an optional benefit to substitute teachers. PRG does not endorse, guarantee, or warrant any third-party product, service, or offer. Your interaction with any third-party vendor is solely between you and that vendor and is subject to that vendor's own terms and privacy policies.

PRG may add, remove, or modify Lounge content at any time. PRG is not responsible for the availability, redemption, fulfillment, quality, or accuracy of any third-party offer.

8. Intellectual Property

The Services, including all software, text, graphics, logos, designs, and content (other than user-submitted content), are owned by PRG or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, PRG grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose.

The Services are operated by PRG under a perpetual license from Internet Updaters, which owns the underlying platform technology. This license does not affect your rights as a user under these Terms.

You retain all rights to content you submit to the Services (such as profile information, uploaded documents, and job applications). By submitting content, you grant PRG and its school district customers a non-exclusive, royalty-free, worldwide license to use, host, store, reproduce, modify, display, and distribute that content as necessary to operate, provide, and improve the Services and to fulfill the purposes for which you submitted it.

You represent that you have all rights necessary to grant this license and that your content does not violate any law or the rights of any third party.

9. Privacy

Our collection, use, and disclosure of information is described in our Privacy Policy, which is incorporated into these Terms by reference. Please do not submit sensitive, confidential, or proprietary information through the Services that is not necessary for the purposes for which the Services are provided.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY.

PRG DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. PRG IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, INCLUDING SCHOOL DISTRICTS, PRINCIPALS, AND SUBSTITUTES, OR FOR ANY CONTENT POSTED OR ACTIONS TAKEN BY THEM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRG AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF PRG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PRG'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PRG FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so the above limitations may not apply to you in full.

Internet Updaters and its affiliates are intended third-party beneficiaries of these Terms, including the disclaimers and limitations of liability set forth in Sections 10 and 11, and are entitled to enforce those provisions.

12. Indemnification

You agree to indemnify, defend, and hold harmless PRG and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content you submit to the Services.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including for violation of these Terms or harm to PRG or other users. Upon termination, your right to use the Services immediately ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.

Before filing any formal claim, you agree to attempt to resolve the dispute informally by contacting support@prgrecruiters.com and providing a written description of the dispute. The parties will negotiate in good faith for at least thirty (30) days before pursuing any formal action.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. If we make material changes, we will provide additional notice through the Services or by email. Your continued use of the Services after the updated Terms take effect constitutes acceptance.
